TERMS & CONDITIONS

These Terms & Conditions (“Terms”) govern access to and use of the Response Lane website and the products and services offered by Response Lane (“Response Lane,” “we,” “us,” or “our”), including customer communication systems, automated and artificial-intelligence-assisted services, website design and development, website integrations, appointment scheduling, lead management, and related services (collectively, the “Services”).
By accessing our website, requesting or booking a demonstration, purchasing Services, entering into an agreement with Response Lane, or otherwise using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. Response Lane Services
Response Lane provides customer communication, front-desk, automation, website, and related digital services for businesses.
Depending on a client's selected Services, Response Lane may provide or assist with:
Telephone call answering or handling
Text-message communications
Email communications
Website chat or messaging
Lead capture
Lead qualification
Customer information collection
Frequently asked question responses
Appointment scheduling
Calendar integrations
Communication routing
Customer follow-up
Business workflow automation
Website integrations
Website design and development
Website hosting or configuration
Forms and booking systems
Other related digital or administrative services
Services may use artificial intelligence, automation, third-party software, telecommunications systems, and other technologies.
Features vary depending on the client's plan, configuration, integrations, business requirements, geographic location, and third-party services.
2. Website Design, Development, and Integration
Response Lane may design, build, configure, modify, migrate, host, maintain, or assist with websites and web pages.
We may also integrate Response Lane services or third-party functionality into an existing client website, including communication tools, chat systems, forms, appointment booking, lead capture, automations, analytics, or other functionality.
The specific website services included in a project will be determined by the applicable proposal, invoice, order, service agreement, or other written scope.
Work outside an agreed scope may require additional fees.
3. Existing Websites
When Response Lane works on or integrates Services into an existing website, we are not responsible for problems that existed before our work or problems caused by systems outside our reasonable control.
These may include:
Existing coding errors
Security vulnerabilities
Outdated software
Hosting problems
Domain or DNS issues
Third-party plugins
Themes or templates
Previous modifications
Incompatible software
Malware
Broken integrations
Third-party accounts
Changes made by the client or another provider
Clients should maintain appropriate backups of existing websites and data.
Response Lane is not responsible for loss resulting from a pre-existing condition or third-party system except to the extent liability cannot legally be excluded.
4. Client-Provided Website Content
Clients are responsible for providing accurate and lawful business information, text, images, trademarks, logos, videos, credentials, product information, pricing, policies, and other materials necessary for their website or Services.
By providing materials to Response Lane, the client represents that it owns them or has sufficient permission to use them.
Clients are responsible for claims arising from content or materials they provide, including allegations involving copyright, trademark, privacy, publicity, or other third-party rights.
5. Website Approval
Clients are responsible for reviewing website content, links, business information, functionality, and other material before approving publication.
Once a client approves a website or requests publication, the client accepts responsibility for confirming that its business information and content are accurate.
Corrections, redesigns, new features, or revisions outside an agreed scope may incur additional charges.
6. Website Performance and Results
Response Lane does not guarantee:
Search-engine rankings
Website traffic
Leads
Sales
Conversion rates
Revenue
Specific page-loading speeds
Compatibility with every browser or device
Continuous website availability
Accessibility certification
Continued compatibility with future third-party updates
Website appearance or functionality may vary between browsers, devices, operating systems, screen sizes, and third-party platforms.
7. Artificial Intelligence and Automation
Certain Services may use artificial intelligence, machine learning, automated workflows, or similar technologies.
These systems may assist with:
Answering calls
Responding to messages
Responding to emails
Answering routine questions
Collecting customer information
Qualifying leads
Scheduling appointments
Routing communications
Summarizing interactions
Supporting business workflows
Artificial intelligence and automated systems can make mistakes.
They may misunderstand a person, provide inaccurate or incomplete information, fail to complete an action, incorrectly interpret instructions, experience delays, or produce unexpected results.
Response Lane does not guarantee that automated responses or actions will always be accurate, complete, appropriate, or error-free.
8. Human Oversight
Clients remain responsible for their businesses and for determining the appropriate level of human review and oversight of automated Services.
Clients should independently review important information and transactions when appropriate.
The Services are not intended to replace emergency services or qualified medical, legal, financial, safety, or other licensed professional services.
9. No Guarantee of Business Results
Response Lane does not guarantee any particular number of:
Leads
Calls
Messages
Customers
Appointments
Sales
Conversions
Revenue
Cost savings
Business opportunities
Results depend on circumstances outside Response Lane's control, including the client's market, services, pricing, reputation, advertising, customer demand, staffing, availability, geographic area, and other factors.
Testimonials, demonstrations, examples, projections, or discussions of possible outcomes are not guarantees of future results.
10. Client Responsibilities
Clients are responsible for providing complete, accurate, lawful, and current information necessary to configure and operate the Services.
Clients must notify Response Lane when relevant information changes.
Clients remain responsible for their:
Products and services
Pricing
Business policies
Customer commitments
Availability
Licenses and permits
Advertising claims
Legal compliance
Customer relationships
Response Lane provides technology and related services and does not assume responsibility for operating the client's underlying business.
11. Appointments and Calendars
Services may schedule, confirm, modify, cancel, or otherwise assist with appointments.
Clients are responsible for maintaining accurate calendar availability and reviewing scheduled appointments.
Response Lane does not guarantee that every appointment will be correctly scheduled, attended, completed, or result in a sale.
To the maximum extent permitted by law, Response Lane is not responsible for lost business resulting from scheduling conflicts, inaccurate client availability, customer no-shows, cancellations, or third-party calendar failures.
12. Calls and Call Recording
Response Lane Services may receive, route, process, record, transcribe, summarize, or otherwise assist with telephone calls where configured and legally permitted.
Laws regarding recording and monitoring communications vary by jurisdiction.
Clients are responsible for informing Response Lane of requirements specific to their businesses and for obtaining or providing legally required notices or consents when responsibility rests with the client.
Response Lane may implement disclosures or consent mechanisms where appropriate, but such functionality does not constitute legal advice or guarantee compliance with every law applicable to a particular client's activities.
13. Text Messaging
Services may send or receive text messages where configured.
Clients may not use the Services for unlawful spam, harassment, deceptive messaging, or communications lacking legally required consent.
Clients are responsible for complying with applicable telecommunications, marketing, consent, opt-out, and messaging requirements relating to their campaigns and customers.
Where applicable, recipients may use recognized opt-out mechanisms such as replying STOP.
14. Email
Services may send, receive, process, categorize, summarize, or respond to emails where configured.
Clients are responsible for ensuring their email communications and marketing practices comply with applicable laws.
Response Lane does not guarantee email delivery, inbox placement, open rates, response rates, or protection from spam filtering or provider restrictions.
15. Third-Party Services
Response Lane may depend on third-party providers for:
Artificial intelligence
Telecommunications
SMS
Website hosting
Domains
Customer relationship management
Calendar systems
Cloud storage
Payment processing
Analytics
APIs
Security
Automation
Other infrastructure
These providers operate independently from Response Lane.
We cannot guarantee their availability, security, continued operation, policies, pricing, functionality, or compatibility.
To the maximum extent permitted by law, Response Lane is not responsible for failures, interruptions, errors, delays, account restrictions, policy changes, data loss, or other problems caused by third-party providers.
16. Service Availability
We aim to provide reliable Services but do not guarantee uninterrupted or error-free operation.
Services may be unavailable because of:
Maintenance
Updates
Internet outages
Telecommunications failures
Third-party outages
Cybersecurity incidents
Software errors
Platform changes
Events beyond our reasonable control
Response Lane may reasonably modify, replace, restrict, update, or discontinue features.
17. Accounts and Credentials
Clients are responsible for protecting usernames, passwords, API credentials, access codes, and other authentication information associated with their accounts.
Clients must promptly notify Response Lane if they reasonably suspect unauthorized access.
Response Lane is not responsible for losses caused by a client's failure to reasonably secure its credentials, except where applicable law provides otherwise.
18. Privacy and Personal Information
Response Lane's handling of personal information is also described in our Privacy Policy.
Clients are responsible for ensuring they have the necessary rights, notices, permissions, and consents to provide personal information to Response Lane and authorize processing through the Services.
When Response Lane processes personal information on behalf of a client, additional data-processing terms may apply.
19. Sensitive Information
Clients should not intentionally use the Services to transmit unnecessary highly sensitive information such as Social Security numbers, passwords, full financial credentials, government identification numbers, medical records, or similar information unless Response Lane has expressly agreed to support that type of processing.
20. Security
Response Lane may implement reasonable administrative, technical, and organizational measures appropriate to the Services.
However, no website, telecommunications network, software platform, cloud system, or internet transmission can be guaranteed completely secure.
Response Lane does not guarantee that unauthorized access, cybersecurity incidents, transmission errors, data loss, or other security events will never occur.
21. Acceptable Use
Users may not use the Services for unlawful, fraudulent, deceptive, abusive, threatening, defamatory, discriminatory, malicious, or unauthorized purposes.
Users may not attempt to:
Damage the Services
Gain unauthorized access
Circumvent security controls
Introduce malicious software
Abuse telecommunications systems
Impersonate others unlawfully
Engage in fraud
Violate intellectual-property rights
Use the Services in violation of applicable law
Response Lane may suspend or terminate access where it reasonably believes the Services are being misused.
22. Fees and Payment
Pricing, setup fees, subscription charges, usage charges, website fees, maintenance charges, and other commercial terms may be stated in a proposal, invoice, checkout page, order form, service agreement, or other written agreement.
Clients agree to pay applicable charges according to the agreed billing arrangement.
Unless otherwise required by law or expressly agreed in writing, fees already earned, incurred, or attributable to completed work are non-refundable.
Failure to pay amounts when due may result in suspension or termination of Services.
23. Changes in Pricing or Services
Response Lane may change pricing or service offerings prospectively.
Existing clients will receive notice where required by their agreement or applicable law.
Additional features, usage, website modifications, integrations, maintenance, or work outside the agreed scope may result in additional charges.
24. Cancellation and Termination
Specific cancellation requirements may be included in the client's service agreement, proposal, order form, or subscription terms.
Response Lane may suspend or terminate Services for reasons including:
Nonpayment
Violation of these Terms
Illegal activity
Abuse
Fraud
Security risks
Misuse of telecommunications systems
Conduct that creates unreasonable legal or operational risk
Termination does not eliminate payment obligations already incurred.
25. Intellectual Property
Response Lane and its licensors retain their rights in Response Lane's branding, systems, workflows, configurations, software, documentation, designs, processes, proprietary materials, and other intellectual property.
Clients retain ownership of their pre-existing trademarks, business information, content, photographs, and other materials.
Ownership of custom website deliverables may be further defined in the applicable client agreement.
Third-party software, templates, plugins, fonts, stock assets, platforms, and other materials remain subject to their respective owners' licenses and terms.
26. Confidentiality
Response Lane and its clients may exchange confidential or nonpublic business information.
Each party agrees to use reasonable measures to protect confidential information and use it only as reasonably necessary for the business relationship.
Confidentiality obligations do not apply to information that:
Becomes public without breach
Was already lawfully known
Is independently developed
Is lawfully received from another source
Must be disclosed by law
27. Compliance With Laws
Clients are responsible for laws applicable specifically to their business, industry, customers, marketing practices, content, communications, and use of the Services.
Response Lane may provide features designed to assist with compliance, but does not provide legal advice and does not guarantee that a client's configuration or use satisfies every law applicable to that client.
28. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
Response Lane does not warrant that the Services will be uninterrupted, completely secure, error-free, or suitable for every particular purpose.
To the maximum extent permitted by law, Response Lane disclaims implied warranties including merchantability, fitness for a particular purpose, and non-infringement.
Nothing in these Terms excludes warranties or rights that applicable law does not permit to be excluded.
29. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RESPONSE LANE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES OR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS, LOST OPPORTUNITIES, LOST DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION ARISING FROM OR RELATING TO THE SERVICES.
To the maximum extent permitted by applicable law, Response Lane's aggregate liability arising from the Services will not exceed the amount paid by the applicable client to Response Lane for the Services giving rise to the claim during the three months immediately preceding the event giving rise to the claim.
These limitations apply only to the extent permitted by applicable law.
30. Indemnification
To the maximum extent permitted by applicable law, clients agree to defend, indemnify, and hold harmless Response Lane and its owners, personnel, contractors, and representatives from third-party claims, liabilities, damages, losses, and reasonable costs arising from:
The client's unlawful use of the Services
Client-provided content or materials
Client instructions
The client's violation of applicable law
The client's violation of these Terms
Infringement caused by client-provided materials
Failure by the client to obtain required permissions or consents
This provision does not require indemnification where applicable law prohibits it.
31. Force Majeure
Response Lane will not be responsible for delay or failure caused by circumstances reasonably beyond its control, including natural disasters, severe weather, fire, power outages, internet outages, telecommunications failures, governmental actions, labor disruptions, war, civil disturbances, cyberattacks, widespread technology failures, or failures of third-party infrastructure.
32. Governing Law
Unless applicable law requires otherwise, these Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law principles.
Response Lane may provide Services to clients and customers in other jurisdictions. Nothing in these Terms eliminates rights or protections that applicable law does not permit to be waived.
33. Informal Dispute Resolution
Before initiating formal legal proceedings, the parties agree to make a good-faith effort to resolve a dispute informally.
A party raising a dispute should provide written notice reasonably describing the issue and allow a reasonable opportunity for resolution.
A separately executed client agreement may contain additional dispute-resolution procedures, which will control where applicable.
34. Severability
If any provision of these Terms is determined to be invalid or unenforceable, it will be enforced to the maximum extent legally permitted or severed where necessary.
The remaining provisions will continue in effect.
35. No Waiver
Failure by Response Lane to enforce any provision of these Terms does not waive that provision or any other right.
36. Assignment
Clients may not assign their rights or obligations relating to the Services without Response Lane's prior written consent where permitted by law.
Response Lane may assign its rights or obligations in connection with a merger, acquisition, reorganization, sale of assets, financing, or similar business transaction, subject to applicable law.
37. Changes to These Terms
Response Lane may update these Terms as its Services, technology, business practices, or legal requirements change.
The current version will be posted with an updated effective date.
Where required by law, additional notice or consent will be provided.
38. Entire Agreement
These Terms, our Privacy Policy, and any applicable service agreement, proposal, order form, invoice terms, data-processing agreement, or other written agreement constitute the applicable agreement between Response Lane and the client regarding the Services.
If a separately signed agreement expressly conflicts with these Terms, the signed agreement controls with respect to that conflict.
39. Survival
Provisions that by their nature should continue after termination—including payment obligations, intellectual-property rights, confidentiality, disclaimers, liability limitations, indemnification, and dispute provisions—will survive termination to the extent permitted by law.
